1. Who we are

Talent Dev Prep (the "Service") is operated by Alyssa Wied ("we", "us", "our"). By using the Service, you agree to these Terms & Conditions. If you do not agree, do not use the Service.

2. Independence disclaimer

Talent Dev Prep is an independent study aid. It is not affiliated with, endorsed by, or sponsored by the Association for Talent Development (ATD) or any certifying body. "CPTD" is a trademark of its respective owner.

3. Acceptable use

You agree not to: (a) use the Service unlawfully or fraudulently; (b) infringe intellectual property rights; (c) attempt to interfere with the Service's security, including probing, scanning, scraping, or introducing malware; (d) share your account credentials; or (e) resell or redistribute the Service or its content.

4. Account responsibility

You are responsible for activity under your account and for maintaining the confidentiality of your credentials. You must provide accurate information and keep it updated.

5. Intellectual property

All software, content, branding, and materials in the Service are owned by Alyssa Wied or licensors. You receive a limited, non-exclusive, non-transferable right to use the Service for personal study within your selected plan. No reverse engineering, redistribution, or circumvention of technical limits is permitted.

6. Service provided "AS IS"

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and that the Service will be uninterrupted, error-free, secure, or free of harmful components. We do not warrant that use of the Service will produce any particular exam result.

7. Security acknowledgement

We use commercially reasonable safeguards to protect the Service and your data. However, no system is completely secure, and we cannot and do not guarantee that unauthorized access, breaches, or data loss will not occur. You use the Service at your own risk and are responsible for safeguarding your account credentials and any backups of data you submit.

8. Payments, billing, refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing, tax, cancellation, and refund mechanics are governed by the Paddle Buyer Terms. See our Refund Policy for details.

9. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall Alyssa Wied be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or other intangible losses, arising out of or relating to the Service — including, without limitation, any data breach, unauthorized access to or alteration of data, service interruption, security incident, or third-party conduct — regardless of the legal theory and even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) the fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim, or (b) USD $50.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law (such as liability for fraud, gross negligence, or death or personal injury caused by negligence).

11. Indemnification

You agree to indemnify, defend, and hold harmless Alyssa Wied from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use or misuse of the Service, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any content or data you submit through the Service.

12. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or utility outages, cyberattacks, or third-party service failures.

13. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Alyssa Wied resides, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the competent courts of that jurisdiction, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, you waive any right to participate in a class action.

14. Changes

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance.
